Introduction

These Terms of Service govern your use of all websites, checkout pages, applications, and services operated by GiveCorporation Inc. (“GiveCorporation,” “we,” “us,” or “our”). By accessing or using any GiveCorporation-operated site or payment interface, you agree to these Terms.

Depending on how you use our platform, different sections may apply to you:

  • Cardholder Terms apply if you are only making a card payment as a payer/cardholder.
    (Unless you also use other GiveCorporation services, such as the GivePayments platform as a merchant or provider.)
  • Both the Cardholder Terms and the Extended Terms apply if you are a merchant, provider, partner, or business user using GiveCorporation services for commercial purposes. It applies also if you use APIs, business dashboards, payout services, or any GiveCorporation-operated platform features.

Please review the section that corresponds to your role when interacting with our services.

Cardholder Terms (applies only when you are making a payment)

Applicability

If you are making a payment using your credit card, debit card, or other supported payment method to a merchant using our platform, only the Cardholder Terms in this section apply to you.

You are not entering into a separate commercial agreement with GiveCorporation. You are simply authorizing a card payment to the merchant.

If you are also a merchant or a provider, the Extended Terms (below) also apply.

Your Payment

You are making a payment to a merchant (sometimes referred to as “recipient,” “creator,” “campaign owner,” or “business”).

GiveCorporation is acting solely as a regulated payments service provider that securely processes the transaction.

Your purchase, donation, booking, or contribution is governed by the merchant’s policies, not by GiveCorporation.

Refunds, Returns & Merchant Responsibilities

  • All refund, return, or product/service issues must be directed to the merchant.
  • GiveCorporation is not a party to your underlying purchase or donation.
  • Refunds follow the merchant’s policy and any applicable consumer-protection laws.

Your Card Network Rights

Your rights under Visa, Mastercard, American Express, Discover, or any other payment network remain unchanged.

This includes your rights to:

  • File a dispute or chargeback with your issuing bank. The dispute is handled between you and your bank.
  • Request information from your issuer
  • Challenge unauthorized charges

Security & Compliance

GiveCorporation processes your payment:

  • Securely
  • In compliance with banking and regulatory requirements
  • Following all applicable card-network rules

We may conduct fraud screening or verification to protect both cardholders and merchants.

No Contract Needed to Make a Payment

You are not required to enter into a service agreement with GiveCorporation in order to make a payment.

The checkout notice and these Terms exist only to explain:

  • How your payment is processed
  • How your data is handled
  • Your rights and protections
  • Our obligations as a regulated payments provider

They are not a merchant contract and are not intended to burden you.

Extended terms (applies only to merchants and providers)

Applicability

These Extended Terms govern your use of GiveCorporation’s platforms, dashboards, APIs, systems, and financial technology services as a merchant, provider, enterprise client, or partner.

These Terms apply in addition to any product-specific agreements or policies, including but not limited to Service Agreements such as Merchant Agreements, Provider Agreements, SaaS Agreements, or Licensing Terms that govern your access to specific features or offerings made available by GiveCorporation.

If there is a conflict between a service agreement and these Terms, the service agreement governs.

Definitions

“GiveCorporation” “we,” “us,” or “our” means Give Corporation Inc., including its affiliates, subsidiaries, and authorized representatives.

“You” or “your” refers to the individual or legal entity accessing or using the Services, and any authorized agents or representatives acting on their behalf.

“Services” means all websites, applications, platforms, systems, tools, APIs, documentation, features, products, content, and technologies offered or operated by GiveCorporation, including but not limited to its various payment processing, P2P transfers, financial management, infrastructure, and compliance offerings.

“User Data” means any data, information, or content submitted, uploaded, or transmitted by you or on your behalf through or to the Services, including personal data, business data, payment data, and communications.
“Service Agreement” means any formal agreement entered into between you and GiveCorporation for the use of specific Services, including but not limited to a Merchant Agreement, Provider Agreement, SaaS Agreement, Licensing Agreement, or P2P Agreement, etc..

“Applicable Law” means all applicable federal, state, local, and international statutes, regulations, directives, rules, ordinances, judicial decisions, and industry standards that apply to you or to GiveCorporation in connection with the use of the Services.

“Third-Party Services” means any services, products, content, software, or platforms provided by third parties that may be integrated with or accessible through the GiveCorporation Services.

“Account” means any administrative, operational, or financial profile established by or for you with GiveCorporation to enable access to one or more Services.

“Confidential Information” means non-public business, technical, or financial information disclosed by one party to the other in connection with the Services, which is marked or otherwise designated as confidential or would reasonably be understood as confidential given the nature of the information.

“Force Majeure Event” means any event beyond the reasonable control of a party, including acts of God, labor disputes, civil unrest, war, pandemics, governmental actions, network or internet outages, or third-party service interruptions.

“P2P transfer” means Peer to Peer,. A user can digitally transfer funds from his bank account to another's bank account.

Eligibility and Registration

You must be legally authorized to enter into a binding agreement in your jurisdiction including being at least 18 years old, and must use the Services only for lawful business purposes. You represent and warrant that all information you provide during registration is true, complete, and kept up to date.

Our Services

GiveCorporation offers a suite of financial technology products and platforms that support payment processing, P2P transfers, risk management, infrastructure licensing, financial tools, and account services. These offerings may vary over time.

Specific product names or features may change without notice and are governed by the applicable Service Agreement or documentation presented at the time of use.

Account & Access

You are responsible for:

  • Maintaining the security of your credentials.
  • All activity conducted under your account.
  • Promptly notifying us of any unauthorized access.

We may suspend access if suspicious activity or violations are detected.

Use Restrictions

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws.
  • Engage in activity that is fraudulent, deceptive, harmful, or abusive.
  • Interfere with the operation, integrity, or security of our Services.
  • Attempt to reverse engineer, disassemble, or misuse GiveCorporation’s proprietary software or services.
  • Engage in card testing activities or automated scripting attacks;
  • Submit test transactions or conduct behavior designed to probe system security, authorization limits, or response behavior;
  • Use the Services in a way that causes disproportionate load, or mimics fraudulent or high-risk patterns, including repeated small-value transactions or abnormal card usage velocity;
  • Aid or abet any collusive or coordinated activity with the intent to defraud cardholders, issuers, or the platform.

GiveCorporation reserves the right to monitor activity and apply restrictions, reserves, or account suspension based on detected abuse patterns or card network alerts.

Intellectual Property

GiveCorporation retains all right, title, and interest in and to its trademarks, service marks, logos, software, and content, whether registered or not. Use of our intellectual property without express written permission is strictly prohibited.

If you choose to provide feedback, suggestions, or ideas about our Services, you grant GiveCorporation a non-exclusive, royalty-free, worldwide, irrevocable, perpetual license to use and incorporate such feedback into our Services without obligation to compensate or credit you.

Data and Privacy

GiveCorporation handles personal and business data in accordance with our Privacy Policy. You acknowledge and consent to our use of your data as necessary to provide and improve our Services. You are responsible for your own data compliance obligations, including under PCI DSS,  CCPA, GDPR, and any applicable local laws. To opt out you can do so on our website.

 Compliance, Verification & Monitoring

These Terms apply to all visitors and prospective customers of GiveCorporation. If you choose to access or use any of our platforms or services — whether GivePaid, GiveTrust, Givei, GiveCash, GivePayments, or any future offering — you will be required to:

  • Execute a separate Service Agreement that governs your specific relationship with us and the scope of services provided.
  • Agree to product-specific terms and policies, including but not limited to our Merchant Agreement, SaaS Agreement, P2P Agreement, Acceptable Use Policy, and any applicable risk, security, or compliance guidelines.

Once under contract, you agree to the following compliance obligations:

  • Know Your Business/Customer (KYB/C) & Anti-Money Laundering (AML): You must provide accurate information and documentation regarding your business, beneficial ownership, and operations, as required under applicable law or our internal risk policies.
  • Ongoing Verification: GiveCorporation reserves the right to conduct background checks, credit evaluations, or other due diligence during onboarding and at any time thereafter.
  • Monitoring & Risk Controls: We may monitor your activity, transaction patterns, or account behavior to detect fraud, financial crime, or violations of applicable laws. We may also implement reserves, transaction limits, or service restrictions at our discretion.
  • Cooperation Requirement: You agree to promptly respond to requests for additional documentation, investigations,  account verification, or operational clarification.

Risk and Underwriting

For services involving financial transactions, GiveCorporation may evaluate your business activity and reserves the right to suspend, withhold, or terminate service if we detect excessive chargebacks, fraud, or policy violations. Risk controls, reserves, transaction limits, or onboarding re-evaluations may be imposed at our discretion.

Third-Party Services and APIs

If you access or integrate with third-party platforms or use our APIs:

  • You do so at your own risk and subject to third-party terms.
  • We are not liable for third-party performance or security.
  • You must not use our APIs in a manner that does not degrades service or violates these Terms.

Fees and Payments

You agree to pay all applicable fees, charges, and taxes incurred through your use of the Services, as outlined in the applicable Service Agreement or pricing documentation.

Fees may include but are not limited to:

  • Interchange fees set by card networks (including VISA Credit Fee, MasterCard Credit Fee, AMEX Fee, Discover Credit Fee, VISA Debit Fee, MasterCard Debit Fee, and Discover Debit Fee),
  • Processing and platform service fees (including Network Fee, Gateway Connectivity, Security & Fraud Prevention, Concierge Fee, and Settlement Fee),
  • Processing fees for P2P transactions, such as standard and  crossborder,
  • Risk-based fees (including Normal Risk Fee Category, High Risk Category Fee, and Restricted Category Fee),
  • Compliance and dispute-related fees (including PCI Non Compliance Fee, Chargeback Fee, and Refund Fee),
  • Transfer fees (including Transfer Fee Tier 1, Transfer Fee Tier 2, and Transfer Fee Tier 3).

GiveCorporation may adjust fees from time to time in accordance with your applicable Service Agreement, and may pass along costs incurred from payment networks, processors, or sponsor banks.

Refunds and Chargebacks

Refunds must be requested directly from the merchant or P2P initiator responsible for the original transaction. However, GiveCorporation reserves the right to issue refunds at its sole discretion. GiveCorporation is not a party to the sales contract between you and the merchant. Merchants are responsible for managing their refund policies and ensuring compliance with applicable consumer protection laws. Refunds may be subject to applicable fees.

Chargebacks are disputes initiated by cardholders through their issuing bank. In the event of a chargeback, GiveCorporation may submit transaction evidence provided by the merchant. A completed transaction may serve as valid proof of purchase and may be submitted to counter the dispute.

GiveCorporation may deduct any associated chargeback fees or losses from future settlements. If GiveCorporation determines that your account exhibits elevated refund or dispute activity, we may apply enhanced risk controls, such as reserves, delayed payouts, or account suspension.

Additional obligations regarding refunds and chargebacks may be defined in your applicable Service Agreement.

Termination

We may suspend or terminate your access to Services for any breach of these Terms or applicable agreements. You may terminate at any time by ceasing to use our Services and complying with applicable wind-down or data retrieval procedures.

Force Majeure

GiveCorporation will not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, power or internet outages, cyberattacks, labor disputes, war, civil unrest, pandemics, or government actions.

Disclaimers and Limitations

The Services are provided “AS IS” and “AS AVAILABLE.” We do not guarantee uninterrupted service or error-free operations. To the extent permitted by law, GiveCorporation disclaims all warranties and shall not be liable for indirect, incidental, or consequential damages arising from use of the Services.

Indemnification

You agree to indemnify and hold harmless GiveCorporation, its affiliates, and its officers, directors, and employees against all claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

Governing Law and Disputes

These Terms are governed by the laws of Arizona law and/or applicable federal law (including the Federal Arbitration Act).  All disputes arising from or relating to these Terms or the Services shall be subject to exclusive jurisdiction in the courts of the County of Maricopa, Arizona, or federal court for the District of Arizona.

If any provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms shall remain in full force and effect.

Changes to Terms

We may modify these Terms at any time. Continued use of the Services after a change constitutes acceptance of the updated Terms. We will notify you of material changes through the website or other communication channels.
